- Delivery: We will deliver the services according to the timeline outlined in the project proposal. Any delays caused by the client, such as failure to provide required information or approvals, may affect the delivery schedule.
Payment
- Payment Terms: Payment schedules will be agreed upon in the project proposal. Payment is due as per the agreed schedule.
- Late Payments: Late payments may incur a fee of 5% of the total project cost for each week the payment is overdue. We reserve the right to suspend services until payment is made.
- Refunds: Deposits and payments are non-refundable unless otherwise stated in the project proposal.
Client Responsibilities
- Information and Materials: You are responsible for providing all necessary information and materials for the completion of the project. This includes text, images, and other content.
- Approvals: You must review and approve work at various stages of the project. Delays in approvals may impact the delivery schedule.
Intellectual Property
- Ownership: Upon full payment, all work created by Ascend Marketing Limited for the client will be owned by the client. However, we reserve the right to use completed projects in our portfolio and marketing materials.
- Client Materials: You guarantee that any materials provided to us do not infringe on any intellectual property rights. You will indemnify us against any claims related to the materials you provide.
Confidentiality
We will maintain the confidentiality of any information you provide that is marked as confidential. This does not apply to information that is publicly available or obtained independently.
Limitation of Liability
Our liability is limited to the amount you have paid for our services. We are not liable for any indirect, incidental, or consequential damages arising out of or in connection with our services.
Termination
Either party may terminate the agreement with 30 days’ written notice. You are responsible for payment of all work completed up to the termination date.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Amendments
We may update these terms from time to time. You will be notified of any changes, and continued use of our services constitutes acceptance of the new terms.
